Every order, every download and every promise on this site is made by one legal person. This notice says exactly which one, so you always know who you are dealing with and where to find them.
The company
What a besloten vennootschap is
A besloten vennootschap, usually shortened to B.V., is a legal person in its own right under Dutch law. It is not its owners and it is not its founders. It signs contracts in its own name, owns its own assets, and carries its own liabilities.
In practice that means three things for you. The company, not any individual, is your counterparty. The company's liability is its own, and the liability of its shareholders is limited to the capital they have put in. And the company continues to exist independently of any change in the people behind it, so a licence you bought from us survives a change of ownership or management.
Directors can still be held personally liable in the cases Dutch law provides for, such as improper management or misleading financial reporting. Nothing on this page limits that.
Governance
The company has a single shareholder and a single statutory director, and they are the same legal person. Whoever signs on behalf of Compliance Condo B.V. does so under that authority. If you need confirmation that a particular person may bind the company, ask us in writing before you rely on it.
Trading names
We publish under more than one name. None of them is a separate company.
- Digital Gemology is the name we trade under for 3D files, cutting files and courses, at digitalgemology.com. It is used in trade under the company's registration.
- Brilliani is the name we trade under for jewellery, at brilliani.com. It is a registered trade name of the company in the Business Register, not a separate entity.
- Brilliani Labs is the name we trade under for the diamond simulation software, at brillianilabs.com. It too is used in trade under the same registration.
- Compliance Condo is the corporate name.
There is no Digital Gemology B.V., no Brilliani B.V. and no Brilliani Labs B.V. If a document, invoice, licence or contract refers to any of those names, the legal person behind it is Compliance Condo B.V., registered under KvK 95458859.
Which entity you are contracting with
Payments are collected on our behalf by our payment provider, which acts as our processor and not as your counterparty. The contract, and the licence that comes with every file, remain between you and Compliance Condo B.V.
Why we publish this
A provider of an information society service has to make its identity, its geographic address, its contact details, its register entry and its VAT number easily, directly and permanently accessible. That duty comes from Article 3:15d of the Dutch Civil Code, which implements the European e-Commerce Directive. This page, together with the legal notices index, is where we meet it.
Disputes
Dutch law governs our contracts. Disputes are heard by the competent court in The Hague, except that a consumer always keeps the right to bring a dispute before the court that mandatory law assigns them, normally the court of their own place of residence. Consumers who would rather not go to court may seek free assistance from the European Consumer Centre in their country of residence via eccnet.eu. The European Commission's Online Dispute Resolution platform has been discontinued and is no longer available. The full position is set out in our terms and conditions.
Keeping this accurate
The figures above are taken from our Business Register extract. You can verify any of them yourself, free of charge, by searching KvK number 95458859 in the Dutch Business Register at kvk.nl, and the VAT number in the European Commission's VIES system.
